1 Parties to This Agreement

This Marketing and Referral Partner Agreement ("Agreement") is entered into between:

The Investor / Acquiring Party
Caymus Group
A real estate investment company operating in Virginia and surrounding markets.
The Referring Partner
Submitting Agent or Partner
The licensed real estate agent, broker, wholesaler, or partner submitting a deal via the Caymus Group deal intake form.

Both parties agree to the terms below upon submission of a deal through the Caymus Group deal intake platform.

2 Purpose of This Agreement

This Agreement establishes the terms under which the Referring Partner introduces off-market, distressed, or creatively structured real estate opportunities to Caymus Group. The goal is to provide a clear, fair, and protected framework for both parties to collaborate on real estate transactions.

Plain English: You bring deals. We work them. You get paid. Your lead stays yours — we never go around you.

3 Lead Ownership & Protection

The Referring Partner retains full ownership of the client lead from the moment of submission. Caymus Group agrees to the following protections:

4 Non-Circumvention

Caymus Group agrees, under penalty of breach of this Agreement, that it will not circumvent, avoid, bypass, or obviate the Referring Partner in any way, directly or indirectly, in order to avoid payment or to avoid the involvement of the Referring Partner in a transaction arising from the introduction made under this Agreement.

Duration: This non-circumvention clause remains in effect for 6 months from the date of the original deal submission for each specific property/client introduced.

Any violation of this clause entitles the Referring Partner to seek damages including, but not limited to, the compensation that would have been owed under this Agreement.

5 Compensation & Referral Fees

Compensation for the Referring Partner will be discussed and agreed upon prior to closing of each individual transaction. The general framework is as follows:

All compensation is subject to applicable state law, licensing requirements, and is contingent on successful closing of the transaction.

6 Confidentiality

Both parties agree to keep all deal-specific information — including client identity, property details, pricing, and deal structure — confidential and not to disclose such information to any third party without mutual written consent, except as required to complete the transaction.

7 Representations of the Referring Partner

By submitting a deal, the Referring Partner represents and warrants that:

8 Term & Termination

This Agreement is effective upon deal submission and remains in force for a period of 6 months for each specific property/client introduced, or until the transaction closes — whichever occurs first. Either party may terminate this Agreement with written notice, provided no pending transaction is in progress.

9 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in Virginia Beach, Virginia.

10 Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior discussions, representations, or agreements. Amendments must be made in writing and signed by both parties.

Note: Checking the agreement checkbox on the deal submission form constitutes electronic acceptance of this Agreement by the Referring Partner and is legally binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).
